Terms of Service

These Terms of Service ("Terms") govern your use of SaferCliq's platform and services. By accessing or using SaferCliq, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use SaferCliq.

1. Service Description

SaferCliq is a Software-as-a-Service (SaaS) platform that provides:

  • Guest complaint capture and tracking via WhatsApp
  • Complaint resolution monitoring and verification
  • Staff performance tracking and accountability
  • Operational intelligence dashboards and reports
  • Benchmarking reports comparing your hotel to industry peers (optional)
  • Integration with hotel PBX systems (optional)
  • Energy monitoring and consumption tracking (optional add-on)

SaferCliq is provided on an "as-is" basis. We make no warranties about the availability, reliability, or accuracy of the service.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts to use SaferCliq. By using SaferCliq, you represent and warrant that you meet these requirements.

2.2 Account Registration

To use SaferCliq, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3 Account Responsibility

You agree to:

  • Notify us immediately of any unauthorized access to your account
  • Update your account information to keep it accurate and current
  • Use SaferCliq only for legitimate hotel operations
  • Not share your login credentials with unauthorized persons

3. Pricing and Billing

3.1 Pricing Plans

Pilot Plan

₦25,000/month

or ₦40,000 one-time

Professional Plan

₦50,000/month

Energy Monitoring Add-on

₦20,000–₦30,000/month

Optional

3.2 Billing Cycle

Billing occurs monthly or annually, depending on your chosen plan. We will send you an invoice before each billing cycle. Payment is due within 7 days of invoice date.

3.3 Payment Methods

We accept:

  • Bank transfer (Nigerian banks)
  • Credit/debit card (Visa, Mastercard)
  • Mobile money transfer

3.4 Late Payment

If payment is not received within 7 days of invoice date, we may suspend your account until payment is made. Accounts suspended for non-payment for more than 30 days may be terminated.

3.5 Price Changes

We reserve the right to change pricing with 30 days' notice. Existing customers will be notified of price changes before they take effect.

3.6 Refunds

Refunds are not available for used services. If you cancel your subscription, you will continue to have access until the end of your billing period, and no refund will be issued for the remaining period.

4. Subscription and Cancellation

4.1 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel. You will be charged the current subscription fee at the time of renewal.

4.2 Cancellation

You can cancel your subscription at any time by providing 30 days' written notice to support@safercliq.com. Your access will continue until the end of your current billing period.

4.3 Data After Cancellation

Upon cancellation, you have 30 days to download your data. After 30 days, we may delete your data in accordance with our Privacy Policy. Aggregated, anonymized data may be retained for benchmarking purposes.

5. Acceptable Use Policy

You agree not to use SaferCliq for any unlawful or prohibited purposes. Specifically, you agree not to:

  • Use SaferCliq to harass, threaten, or discriminate against guests or staff
  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to SaferCliq systems
  • Reverse engineer, decompile, or disassemble SaferCliq
  • Scrape data from SaferCliq without authorization
  • Use SaferCliq to develop competing products or services
  • Share your login credentials with unauthorized persons

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

6. Intellectual Property Rights

6.1 SaferCliq Intellectual Property

SaferCliq owns all intellectual property rights to the platform, including software, algorithms, designs, and proprietary insights. You are granted a limited, non-exclusive, non-transferable license to use SaferCliq for your hotel operations only.

6.2 Your Data Ownership

You retain ownership of your hotel's complaint data and operational information. However, SaferCliq retains the right to use anonymized, aggregated data for benchmarking, research, and service improvement.

6.3 Proprietary Insights

SaferCliq owns all proprietary insights, benchmarking data, and industry trends derived from aggregated, anonymized data. These insights are SaferCliq's trade secrets and competitive advantage.

7. Data Ownership and Usage

7.1 Your Data

You own all complaint data, guest information, and operational data you provide to SaferCliq. You grant SaferCliq a license to use this data to provide services and create anonymized benchmarking insights.

7.2 Benchmarking Data

SaferCliq uses anonymized, aggregated data from all hotels to create industry benchmarks. You can opt out of benchmarking by contacting support@safercliq.com. If you opt out, your data will not be included in benchmarking reports.

7.3 Data Export

You can export all your data at any time in a standard format. You can also request deletion of your data, subject to legal retention requirements.

8. Limitation of Liability

8.1 "As-Is" Service

SaferCliq is provided on an "as-is" basis without warranties of any kind, express or implied. We do not warrant that SaferCliq will be uninterrupted, error-free, or secure.

8.2 Disclaimer of Warranties

We disclaim all warranties, including:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that SaferCliq will meet your requirements
  • Warranties about the accuracy or completeness of data

8.3 Limitation of Damages

In no event shall SaferCliq be liable for:

  • Lost data or business interruption
  • Lost profits or revenue
  • Indirect, incidental, or consequential damages
  • Damages arising from your use of SaferCliq

8.4 Maximum Liability

Our total liability to you for any claim arising from these Terms or your use of SaferCliq shall not exceed the amount you paid to SaferCliq in the 12 months preceding the claim.

8.5 Your Responsibility

You are responsible for: backing up your data regularly, maintaining security of your account credentials, and complying with all applicable laws in your use of SaferCliq.

9. Indemnification

You agree to indemnify and hold harmless SaferCliq, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of SaferCliq
  • Your violation of these Terms
  • Your violation of any applicable laws
  • Your infringement of third-party rights
  • Data you provide to SaferCliq

10. Termination

10.1 Termination by You

You can terminate your account at any time by providing 30 days' written notice to support@safercliq.com.

10.2 Termination by SaferCliq

We may terminate your account immediately if:

  • You violate these Terms
  • You engage in illegal activity
  • You fail to pay your invoice for more than 30 days
  • You violate our Acceptable Use Policy

10.3 Effect of Termination

Upon termination, your access to SaferCliq will be immediately revoked. You have 30 days to download your data. After 30 days, we may delete your data.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve any dispute with SaferCliq through good-faith negotiation.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

11.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Lagos, Nigeria for any legal proceedings arising from these Terms.

12. Miscellaneous

12.1 Entire Agreement

These Terms constitute the entire agreement between you and SaferCliq regarding your use of SaferCliq and supersede all prior and contemporaneous agreements, whether written or oral.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign these Terms without our prior written consent. SaferCliq may assign these Terms without restriction.

12.5 Notices

Any notices required under these Terms shall be in writing and delivered personally, by email, or by certified mail to the addresses specified in the Contact Us section.
